These Muse Vendor Terms of Service ("Terms") govern your use of the Muse vendor platform, website, and related services ("Muse," "we," "our," or "us").
By creating a vendor profile, uploading content, or otherwise using Muse, you ("Vendor," "you," or "your") agree to be bound by these Terms.
If you do not agree, you may not use Muse as a vendor.
1. Overview of the Muse Service
Muse is a curated discovery platform that enables couples to browse creative vendors, view portfolios, and submit inquiries. Muse is not a party to any contract between a Vendor and a couple. Muse provides:
- A vendor profile and portfolio page
- A system for receiving inquiries
- Optional tools for managing leads
- Optional paid features, disclosed in advance
You are responsible for all services you provide to couples.
2. Eligibility
To use Muse as a Vendor, you represent and warrant that:
- You are at least 18 years old.
- You are able to legally enter into contracts.
- You have the right to provide the services you advertise.
- You have all necessary licenses, insurance, and permits required by law.
3. Vendor Accounts
You are responsible for:
- Maintaining accurate profile information
- Keeping your login credentials confidential
- Ensuring all content is truthful, lawful, and non-misleading
- Promptly updating availability, pricing, and contact information
Muse may contact you to verify identity or business legitimacy.
4. Content & Image Rights
4.1 Content You Upload
By uploading, maintaining, or otherwise making any content available on Muse — including images, videos, text, or portfolio materials ("Vendor Content") — you grant Muse a non-exclusive, worldwide, royalty-free, transferable, revocable license to:
- Display
- Reproduce
- Distribute
- Modify (for formatting only)
- Promote your services through Muse
You retain full copyright to all Vendor Content.
You may revoke this license at any time by removing the content from your profile.
4.2 Placeholder Images (Draft Profiles)
To help you preview your profile during onboarding, Muse may add a limited number of temporary placeholder images sourced from publicly available examples of your work.
- You may remove them at any time.
- If placeholder images remain on your profile at the time of publication, you grant Muse permission to display those images under the same license in Section 4.1.
- Muse will not use placeholder content for paid advertising without your explicit permission.
4.3 Representations
You represent and warrant that:
- You own all rights to the content you upload, or
- You have obtained all required permissions, releases, and licenses.
You may not upload content that infringes the rights of third parties, including photographers, stylists, or venues.
5. Fees
5.1 Free Vendor Participation
Creating and maintaining a profile on Muse is free. Muse does not charge:
- Listing fees
- Membership fees
- Advertising fees (unless optional and opt-in)
5.2 Fees for Accepting Leads
The Muse Concierge may be tipped an optional fee for certain actions, such as accepting a lead from a couple.
- You are never required to accept a lead.
- Declining a lead will never result in a charge.
- Muse does not take a percentage of your booking unless explicitly agreed to in writing.
5.3 No Refunds
Fees for accepted leads or optional paid features are non-refundable, except where required by law.
6. Communications & Notifications
By using Muse, you consent to:
- Email notifications
- Text messages (if enabled)
- In-platform messages
- Service updates and product announcements
These communications may be transactional or marketing-oriented.
7. Vendor Responsibilities
You agree to:
- Respond to leads in a timely manner
- Provide accurate pricing and service details
- Maintain professional communication with couples
- Deliver services as represented
- Comply with all applicable laws and industry standards
- Maintain appropriate insurance (if applicable)
You acknowledge that your interactions with couples occur outside of Muse's control.
8. Listings & Representation
Muse may:
- Verify profiles
- Remove inaccurate or misleading information
- Edit formatting for clarity
- Feature or highlight selected vendors at Muse's discretion
You may request removal of your profile at any time.
9. Prohibited Activities
Vendors may not:
- Misrepresent services, pricing, or availability
- Upload copyrighted content without permission
- Harass or abuse couples or other vendors
- Use Muse to circumvent fees via off-platform avoidance
- Scrape or harvest data from Muse
- Engage in fraudulent or deceptive conduct
10. Termination
Muse may suspend or terminate your account if:
- You violate these Terms
- You engage in unprofessional or harmful behaviors
- You misuse the platform
- You request removal
Upon termination:
- Your profile will be removed
- Your content may be deleted
- Fees already paid are non-refundable
You may request data export prior to deletion.
11. Intellectual Property
Muse owns all rights to:
- Site design
- Branding
- Software
- Algorithms
- Text, layout, and compilation
You may not copy or replicate Muse's platform.
12. Modifications to These Terms
Muse may update these Terms periodically.
Continued use of the platform after changes constitutes acceptance of the updated Terms.
Significant changes will be communicated via email or in-platform notice.
13. Disclaimers
Muse is provided "as is" and "as available."
Muse does not guarantee:
- Lead volume
- Booking likelihood
- Revenue outcomes
- Platform uptime
- Specific placement or visibility
Couples' decisions are entirely outside Muse's control.
14. Limitation of Liability
To the fullest extent permitted by law:
- Muse is not liable for lost profits, lost bookings, or incidental damages.
- Muse's total liability to you will not exceed the total amount paid by you to Muse in the previous 12 months.
- Muse is not responsible for disputes between Vendors and couples.
15. Indemnification
You agree to indemnify and hold harmless Muse from any claims arising out of:
- Your services
- Your content
- Copyright violations
- Disputes with couples
- Misrepresentation or breach of these Terms
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware (or your preferred jurisdiction).
Any disputes will be resolved through:
- Good-faith negotiation
- Mediation
- Binding arbitration
Unless otherwise required by law.
